Remote Node Policy v2.001 2025-02-21

This Remote Node Policy (the "Policy") sets out the terms and conditions for the deployment, operation, and use of GEN's remote nodes at customer premises. A remote node comprises GEN-owned equipment, including private circuits, switches, and servers, installed in the customer's equipment rack. The customer provides rack space at no cost, while GEN retains full ownership and operational control of the equipment.


Advantages

Remote nodes offer several benefits to both GEN and our customers:

  • For GEN: Enhances our disparate networking capabilities by extending our infrastructure to customer locations.
  • For Customers: Opportunity to consume compute resources at reduced rates and utilise bandwidth as needed.
  • Hybrid Solution: Enables hyper-converged virtualisation, allowing workloads to be pushed or pulled between our datacentre and the remote node. Also facilitates shared storage, providing the benefits of both on-premises and cloud hosting in one integrated solution.

Process

The deployment of a remote node involves the following steps:

  1. Agreement: Customer agrees to provide rack space and accepts the terms of this Policy.
  2. Installation: GEN installs the equipment (private circuit, switch, and servers) in the customer's rack.
  3. Operation: GEN operates and maintains the equipment. Customer may access compute and bandwidth resources as per agreed terms.
  4. Access and Maintenance: GEN may access the equipment with reasonable notice for maintenance or upgrades.
  5. Withdrawal: GEN may withdraw the equipment at any time, with reasonable notice where practicable.

Conditions

The following conditions apply to remote node deployments:

  • The customer provides rack space free of charge.
  • The equipment remains the property of GEN at all times.
  • The customer must take reasonable care of the equipment to prevent loss, damage, or theft.
  • In the event of loss, damage, or destruction of the equipment, the customer shall be liable for the full cost of replacement or repair.
  • The customer must ensure the rack environment is suitable (power, cooling, security) for the equipment.

Terms of Service

The terms of service for remote nodes are based on our Acceptable Use Policy and Framework Agreement, with the following specific additions:

Equipment Ownership and Access

All equipment deployed as part of the remote node remains the sole property of GEN. GEN shall have unrestricted access to the equipment at any time, with reasonable notice provided where practicable. The customer agrees not to interfere with, modify, or attempt to access GEN's equipment without explicit permission.

Withdrawal Rights

GEN reserves the right to withdraw the remote node equipment at any time, for any reason, with reasonable notice to the customer where practicable. Upon withdrawal, GEN will remove the equipment, and the customer shall cooperate fully in this process.

Customer Responsibilities

In addition to the responsibilities outlined in the Framework Agreement, the customer must:

  • Maintain the rack environment to ensure the safety and proper functioning of GEN's equipment.
  • Immediately notify GEN of any issues affecting the equipment or rack.
  • Be liable for any damage caused by the customer's negligence or actions.

All other terms from the Acceptable Use Policy and Framework Agreement apply, including but not limited to prohibited uses, confidentiality, indemnification, and termination provisions.
